CONTENT DISTRIBUTION POLICY

This Content Distribution Policy outlines the terms and conditions governing the distribution, promotion, and monetization of all digital audio and video content by SwaLay Digital (referred to as "we," "us," or "our"). By submitting your content to us, you agree to comply with this policy in its entirety.

1. Scope of Distribution

We are granted the exclusive, worldwide, and perpetual right to digitally distribute, display, and monetize all audio and video content you submit (the "Content") through all channels, platforms, and formats, whether they exist today or are developed in the future.

This includes, but is not limited to:

  • Streaming Services: Interactive and non-interactive online web-casting via browsers and mobile applications, including Over-the-Top (OTT) platforms.

  • Mobile Platforms: Distribution for mobile telephony, including ringback tunes, streaming, and full-track downloads.

  • Digital Storefronts: Commercial exploitation through digital stores such as Apple Music, Spotify, Amazon Music, and all other current and future digital service providers.

  • Social Media: Promotion and utilization of content on social media platforms like YouTube, Facebook, and others.

  • Synchronization: Licensing of Content for use in audiovisual productions, including films, television, and commercials.

  • Public Performance: The right to broadcast your Content for public performance in all forms.

2. Content Submission Guidelines

All Content submitted to us must meet the following requirements:

  • Originality: The Content must be your own original work.

  • Ownership: You must hold all necessary copyrights, master use rights, and intellectual property rights for the Content.

  • Quality: Content must be submitted in a high-quality format as specified in our submission guidelines.

  • Compliance: You must ensure that the Content and its metadata (titles, descriptions, etc.) do not contain any material that is illegal, defamatory, obscene, or violates any third-party rights.

3. Content Exclusivity and Ownership

By submitting your Content to us, you grant us an exclusive right to distribute and monetize it as outlined in this policy. You warrant that you are the sole and exclusive owner of the Content and have not granted similar distribution rights to any other party.

In the event of a copyright claim or ownership dispute, you are solely responsible for providing proof of your ownership and resolving the matter. We are not obligated to enforce your ownership claims against any conflicting parties.

4. Monetization and Royalty Payments

For all revenue generated from the monetization of your Content, you will be entitled to a royalty percentage as determined by the service plan you have selected.

  • Net Receipts: Your royalty will be calculated based on the net receipts we receive from third-party platforms. Net receipts are defined as the gross revenue received, minus any platform fees, transaction costs, and applicable taxes.

  • Payment Schedule: Payments will be made to you within ninety (90) days of the end of each calendar quarter in which the net receipts are received.

5. Third-Party Platform Terms

All Content distributed through third-party platforms is subject to their individual terms of use and policies. You acknowledge and agree to comply with these terms, which may include guidelines regarding content, monetization, and takedown procedures. We are not responsible for any changes to or conflicts with these third-party policies.

6. Prohibited Content and Activities

The following types of Content and activities are strictly prohibited:

  • Infringing Content: Any content that infringes upon the copyrights, trademarks, or other intellectual property rights of a third party.

  • Illegal Content: Any content that is illegal, promotes illegal acts, or is in violation of any applicable laws.

  • Harmful Content: Any content that is sexually explicit, defamatory, fraudulent, harassing, or promotes violence or discrimination.

  • Misleading Content: Content with false or misleading information, including unauthorized use of logos or brand names.

  • Unauthorized Use: Engaging in any activity on our platform that is not authorized, including data scraping or the use of automated scripts.

Violation of this policy may result in the immediate removal of your Content, suspension of your account, and termination of our agreement with you.

7. Dispute Resolution

Any dispute arising from or related to this policy and the distribution of your Content will be governed by the laws of India. Such disputes will be subject to the exclusive jurisdiction of the courts located in Ghaziabad, Uttar Pradesh, India.

8. Term and Termination

This Content Distribution Policy remains in effect for the entire duration of our business relationship. We reserve the right to terminate our services and this policy with you at any time, with or without cause, upon written notice.

9. Policy Updates

We reserve the right to update or modify this policy at any time. Any changes will become effective immediately upon being posted on our website. Your continued use of our services after any policy changes are posted constitutes your acceptance of the updated terms.
